1. Acceptance of Terms

By accessing or using GeoSwap ("the Service"), operated by GeoSwap ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and GeoSwap.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such cases, "you" refers to both you individually and the organization.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

GeoSwap is a free geo-targeting platform that provides website owners with tools to:

• Geo Redirect: Automatically redirect website visitors based on their geographic location
• Geo Links: Create geo short links that route users to different destinations based on location
• Geo Content: Personalize website content based on visitor geography

The Service includes a web-based dashboard for managing geo-targeting rules, a JavaScript snippet (geoswap.js) for website integration, and associated APIs and infrastructure.

The Service is provided free of charge. We reserve the right to introduce premium features or usage tiers in the future, with advance notice.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Maintain the security and confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access to or use of your account

You may not create an account using false or misleading information. We reserve the right to suspend or terminate accounts that violate this provision.

You may invite team members to your account. You are responsible for all activity conducted by team members within your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation
• GeoRedirect visitors to websites containing malware, phishing schemes, or other malicious content
• GeoRedirect visitors to content that is illegal, fraudulent, deceptive, or harmful
• Engage in geographic discrimination that violates applicable anti-discrimination laws
• Circumvent geographic restrictions imposed by content licensing agreements without authorization
• Interfere with or disrupt the Service, its servers, or networks connected to the Service
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
• Use automated systems (bots, scrapers, etc.) to access the Service in a manner that exceeds reasonable use
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Resell, redistribute, or sublicense access to the Service without our written consent

We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating accounts and reporting illegal activity to law enforcement authorities.

5. Website Owner Responsibilities

As a website owner using GeoSwap, you acknowledge and agree to the following responsibilities:

• You must have lawful authority to implement geo-targeting on the websites where you deploy GeoSwap
• You are solely responsible for the destinations to which your visitors are redirected
• You must ensure your use of geo-targeting complies with all applicable laws in both the source and destination jurisdictions
• If applicable, you must disclose the use of geo-targeting cookies in your own website's privacy policy and cookie consent mechanisms
• You are responsible for the SEO implications of your geo-targeting configurations

6. Intellectual Property

The Service, including its design, source code, documentation, branding, logos, user interface, and all related intellectual property, is and remains the exclusive property of GeoSwap. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

The GeoSwap name, logo, and all related marks are trademarks of GeoSwap. You may not use our trademarks without prior written consent, except as reasonably necessary to describe your use of the Service (e.g., "Powered by GeoSwap").

We welcome feedback and suggestions about the Service. You agree that any feedback you provide may be used by us without obligation to you.

7. User Content and Data

You retain all ownership rights to the content and configurations you create through the Service, including redirect rules, link configurations, and content personalization settings ("User Content").

By using the Service, you grant GeoSwap a limited, non-exclusive, worldwide license to host, process, and display your User Content solely as necessary to provide and operate the Service. This license terminates when you delete your User Content or your account.

You represent and warrant that you have all necessary rights to the User Content you submit and that your User Content does not infringe the intellectual property rights of any third party.

8. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

• Scheduled maintenance (with advance notice where feasible)
• Unscheduled emergency maintenance
• Factors beyond our reasonable control, including internet service disruptions, third-party provider outages, natural disasters, or force majeure events

We are not liable for any damages or losses resulting from Service downtime or unavailability. Because the Service is provided free of charge, no service level agreement (SLA) is offered.

9. Modifications to the Service

We reserve the right to modify, update, or discontinue any part of the Service at any time, with or without notice. We may add, change, or remove features and functionality.

If we make changes that materially reduce the functionality of the Service, we will make reasonable efforts to notify affected users in advance through the dashboard or email.

We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by applicable law, GeoSwap disclaims all warranties, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the accuracy or reliability of geographic detection data
• Warranties that the Service will meet your specific requirements
• Warranties that any defects in the Service will be corrected

Geographic detection relies on third-party IP geolocation databases that may contain inaccuracies. We do not guarantee 100% accuracy of geographic targeting.

11. Limitation of Liability

To the maximum extent permitted by applicable law, GeoSwap and its officers, directors, employees, agents, and affiliates shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenues, data, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your data
• Damages resulting from any interruption or cessation of the Service
• Damages resulting from inaccurate geographic targeting or misdirected traffic
• SEO impacts, search engine ranking changes, or indexing issues arising from the use of geo-targeting features

These limitations apply regardless of the legal theory on which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if GeoSwap has been advised of the possibility of such damages.

Because the Service is provided free of charge, in no event shall our total aggregate liability exceed one hundred US dollars ($100.00 USD).

12. Indemnification

You agree to indemnify, defend, and hold harmless GeoSwap and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• The content, destinations, or configurations you create through the Service
• Any claim by a third party arising from your use of geo-targeting features on your websites

13. Termination

You may terminate your account at any time by deleting it through the dashboard or by contacting us. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

• Violation of these Terms or the Acceptable Use policy
• Conduct that we reasonably believe is harmful to other users, the Service, or third parties
• Extended periods of inactivity
• Requests by law enforcement or government agencies
• Discontinuation of the Service

Upon termination, we will delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, limitation of liability, and indemnification.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with applicable commercial arbitration rules, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last updated" date at the top of this page
• Provide notice through the Service dashboard for material changes
• Where changes are material, provide at least 30 days' notice before the new terms take effect

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and GeoSwap regarding the Service and supersede all prior agreements, communications, and understandings, whether written or oral.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
